By purchasing a personal license through Stripe payment processing and accessing or using the Service, You agree to be bound by the terms of this EULA. If You do not agree to these terms, do not purchase the license or use the Service.
Subject to Your compliance with this EULA and payment of the applicable fees via Stripe, We grant You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial purposes only. The license term begins upon successful payment confirmation via Stripe and continues for the duration specified in Your purchase (e.g., monthly or annual subscription), unless terminated earlier as provided herein.
You agree not to use the Service for any illegal, unauthorized, or prohibited purposes. Specifically:
We reserve the right to monitor Your use of the Service to ensure compliance with this EULA and may suspend or terminate Your access if We suspect any violation.
All payments for the personal license are processed securely through Stripe. By providing Your payment information, You authorize Us to charge the applicable fees. Fees are non-refundable except as required by law or as explicitly stated in Our refund policy available on www.api-angel.com. In the event of a chargeback or dispute initiated by You, We may suspend Your access to the Service pending resolution.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
NGGM CONSULTING SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY CUSTOMER USAGE OF THE SERVICE, INCLUDING ANY MISUSE, ILLEGAL ACTIVITIES, OR DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS EULA OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless NGGM Consulting, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Your use of the Service, violation of this EULA, or infringement of any third-party rights.
This EULA and Your license will terminate automatically if You fail to comply with any term herein. Upon termination, You must cease all use of the Service. We may also terminate this EULA at any time for any reason, with or without notice. Sections 2, 4, 5, 6, 7, and 8 shall survive termination.
This EULA is governed by and interpreted in accordance with French law, excluding any conflict of laws rules.
Any dispute relating to the existence, interpretation, performance or termination of this EULA shall be submitted to the exclusive jurisdiction of the courts of Paris (France), even in the event of multiple defendants, warranty claims or summary proceedings.
The Parties acknowledge that the language of this contract is English, and expressly waive any right to rely on another language.
By using the Service, You acknowledge that You have read, understood, and agree to this EULA.
