End User License Agreement (EULA)

Effective Date: February 26, 2026

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User," "You," or "Your") and NGGM Consulting ("We," "Us," or "Our"), the owner and operator of the website www.api-angel.com (the "Service"). By accessing or using the Service or requesting an evaluation license, You agree to be bound by the terms of this EULA. If You do not agree to these terms, do not use the Service.

1. Grant of License

Subject to Your compliance with this EULA, We grant You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for authorized security evaluation and vulnerability discovery purposes. This license is intended solely for:

  • Discovering and verifying API authorization vulnerabilities before production deployment.
  • Security testing on API endpoints You own or have explicit written authorization to test.
  • Participation in authorized bug bounty and vulnerability coordination programs.

The license term begins upon deployment or key issuance and continues for the duration specified in Your agreement, unless terminated earlier as provided herein.

2. Restrictions on Use

You agree not to use the Service for any illegal, unauthorized, or prohibited purposes. Specifically:

  • You must not use the Service to engage in any activity that violates local, state, national, or international laws, including unauthorized exfiltration of third-party data or malicious cyber attacks.
  • The Service may only be used for the permitted security evaluation purposes outlined in Section 1. Any other use, including unauthorized commercial exploitation, resale, or integration into third-party products without Our prior written consent, is strictly prohibited.
  • You may not reverse engineer, decompile, disassemble, or attempt to derive the underlying proprietary algorithms of the Service.
  • You may not share, transfer, or assign Your evaluation or enterprise key to any unauthorized third party.
  • You must not use the Service to harm, disrupt, or interfere with third-party systems without explicit authorization.

We reserve the right to verify compliance with this EULA and may suspend or terminate Your access if We suspect any violation.

3. Commercial Terms & Evaluation

Evaluation licenses and enterprise subscriptions are governed by the specific terms agreed upon during procurement or POC scheduling. In the event of an evaluation period, access is granted for technical verification purposes within your sovereign perimeter.

4. Disclaimer of Warranties and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

NGGM CONSULTING AND API ANGEL SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY CUSTOMER USAGE OF THE SERVICE, INCLUDING ANY MISUSE, ILLEGAL ACTIVITIES, OR DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS EULA OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

5. Indemnification

You agree to indemnify, defend, and hold harmless NGGM Consulting, API Angel, their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Your use of the Service, violation of this EULA, or infringement of any third-party rights.

6. Termination

This EULA and Your license will terminate automatically if You fail to comply with any term herein. Upon termination, You must cease all use of the Service. We may also terminate this EULA at any time for any reason, with or without notice. Sections 2, 4, 5, 6, 7, and 8 shall survive termination.

7. Governing Law and Jurisdiction

This EULA is governed by and interpreted in accordance with French law, excluding any conflict of laws rules.

Any dispute relating to the existence, interpretation, performance or termination of this EULA shall be submitted to the exclusive jurisdiction of the competent courts of France, even in the event of multiple defendants, warranty claims or summary proceedings.

The Parties acknowledge that the language of this contract is English, and expressly waive any right to rely on another language.

8. Miscellaneous

  • Entire Agreement: This EULA constitutes the entire agreement between You and Us regarding the Service and supersedes all prior agreements.
  • Amendments: We may update this EULA at any time by posting the revised version on www.api-angel.com. Your continued use of the Service after such changes constitutes acceptance.
  • Severability: If any provision of this EULA is held invalid, the remainder shall continue in full force.
